Effective date: [EFFECTIVE DATE] · Last updated: [DATE]

⚠️ DRAFT — not yet legally binding. This is a working template pending review by legal counsel. Bracketed [PLACEHOLDERS] must be completed. Do not rely on this document until this notice is removed.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the xcube platform and APIs (the "Service") provided by [LEGAL ENTITY NAME] ("we", "us"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.

2. The Service

xcube is a multi-tenant platform for large language model (LLM) chat, retrieval-augmented generation over your uploaded knowledge bases, and a compatible API. Features, models, and limits may change over time. Model availability follows our published model-lifecycle policy and may be updated, deprecated, or replaced.

3. Accounts & Organizations

Each account belongs to an organization (workspace). You are responsible for maintaining the confidentiality of your credentials and API keys, and for all activity under your account. Notify us promptly of any unauthorized use.

4. Acceptable Use

You agree not to: (a) exceed published rate or budget limits, or circumvent technical controls; (b) use the Service to generate or distribute unlawful, infringing, or harmful content; (c) attempt to extract other tenants' data or breach isolation; (d) resell or sublicense the Service except as expressly permitted; (e) use the Service to build a competing model by systematic extraction. We may suspend accounts that threaten the stability, security, or integrity of the Service (including automated abuse), consistent with our operational controls.

5. Your Content & Data

You retain ownership of the content you upload or submit ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and secure the Service. How we handle data is described in our Privacy Policy. You are responsible for ensuring you have the rights to submit Customer Data and that doing so complies with applicable law.

6. AI Output

The Service uses probabilistic models. Outputs may be inaccurate, incomplete, or unsuitable for a given purpose, and are provided without warranty of correctness. You are responsible for reviewing outputs before relying on them, and must not use outputs as the sole basis for decisions with legal, medical, financial, or safety consequences.

7. Fees & Billing

Paid usage of the public API is billed based on metered consumption at the then-current rates (which may include a markup over underlying model cost). Free-tier usage is subject to daily cost caps. Rates, caps, and plan terms are as published or as agreed in an order. [PAYMENT, TAX, AND REFUND TERMS — to be completed by counsel.]

8. Service Availability

We aim to keep the Service available but do not guarantee uninterrupted operation. Current operational state is shown on our status page. [SLA / SERVICE CREDIT TERMS, IF ANY — to be completed.]

9. Warranties & Disclaimers

EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Limitation of Liability

[LIABILITY CAP AND EXCLUSIONS — to be completed by counsel. Typically excludes indirect/consequential damages and caps aggregate liability at fees paid in a trailing period, subject to applicable law.]

11. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or to protect the Service. On termination, your right to use the Service ends; data handling on termination is described in the Privacy Policy.

12. Changes to these Terms

We may update these Terms; material changes will be communicated through the Service or by other reasonable means. Continued use after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of [JURISDICTION], without regard to conflict-of-laws rules. [VENUE / DISPUTE RESOLUTION — to be completed.]

14. Contact
